1. Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Schueller Furniture North America Inc. (“SFNA,” “we,” “us,” or “our”) concerning your access to and use of novalina.com (the “Site”), including any related services, content, or products offered. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

2. Eligibility

This Site is offered and available to users who are 18 years of age or older. By using this Site, you represent and warrant that you are of legal age to form a binding contract with SFNA and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

3. Intellectual Property

We reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Site or the entire Site.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Site.
  • Ensuring that all persons who access the Site through your internet connection are aware of these Terms and comply with them.

4. Intellectual Property

All content on the Site such as text, images, displays, logos, designs, videos, and branding Is the property of SFNA or its licensors and is protected by United States copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, revocable, non-sublicensable, non-exclusive license to access and use the content for personal, non-commercial purposes only. Any unauthorized use is prohibited.

The company name, the term Novalina and all related names, logos, product and service names, designs, and slogans are trademarks of SFNA, its parent company or its affiliates or licensors. You must not use such marks without the prior written permission of SFNA. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

5. Acceptable Use & Prohibited Activities

When using the Site, you agree not to:

  • Violate any applicable laws or regulations.
  • Use the Site to conduct unlawful, fraudulent, or harmful activities.
  • Attempt unauthorized access to systems, data scrape, or disrupt Site operations.
  • Impersonate others, harass, intimidate, or threaten other users.
  • Upload or transmit content that infringes on others’ rights or is offensive, harmful, or abusive.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm SFNA or users of the Site, or expose them to liability.

6. User Content Standards

These content standards apply to any and all your user contributions/content. User contributions/content must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, user contributions/content must not:

  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Any content you submit (reviews, comments, messages) remains yours. By posting such content, you grant SFNA a worldwide, non-exclusive, royalty-free license to use, modify, and display your content across all media. You agree that your content does not violate third-party rights, and we reserve the right to remove any content at our discretion.

The Site may link to third-party websites or services that are not under our control. We are not responsible for the content, policies, or practices of any third parties and the inclusion of any link does not imply endorsement.

11. Limitation of Liability

12. Indemnification

You agree to defend, indemnify, and hold harmless Novalina and SFNA, its parent company, its affiliates from , licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, liabilities, andcosts, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, violation of these Terms, or or your use of the Site, including, but not limited to, any user content you submit, any use of the Site’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

13. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for violation of these Terms or any other reason. We also reserve the right to disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy. Termination does not waive any rights or remedies we may have under the law or equity, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site.

Unauthorized use is strictly prohibited. You may not copy, reproduce, distribute, or transmit any part of this Site without our prior written permission. This site may contain user-generated content or links to external sites. No copyright infringement is intended, and all rights to such content belong to their original owners.

15. Governing Law & Jurisdiction

These Terms are All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by the and construed in accordance with the internal laws of the State of Florida, without regard giving effect to any choice or conflict of law principles. You agree that provision or rule (whether of the State of Florida or any disputes other jurisdiction).

Any legal suit, action, or proceeding arising from out of, or relating related to, these Terms or the Site will shall be resolved instituted exclusively in the state or federal courts of the United States or the courts of the State of Florida, in each case located in the City of Doral, Florida and County of Miami-Dade although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

16. Changes to Terms

We may update these Terms at any time, but its content is not necessarily complete or up-to-date. Any of the material on the Site may be out of date at any given time, and we are under no obligation to update such material. The revised version will have an updated “Last Updated” date and will be effective upon posting. Your continued use of the Site constitutes acceptance of the updated Terms.

17. Waiver and Severability

No waiver by SFNA of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SFNA to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.


18. Entire Agreement

The Terms, and our Privacy Policy constitute the sole and entire agreement between you and SFNA regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Site.
